Trade Program Terms & Conditions

These Trade Program Terms & Conditions ("Terms") govern the membership and participation in the Trade Program offered by Semi Exact, Inc. ("Semi Exact"). By applying for and maintaining membership in the Semi Exact Trade Program ("Trade Program"), you agree to abide by these Terms. Semi Exact reserves the right to modify these Terms at any time, without prior notice, at its sole discretion.

1. Eligibility

  1. The Trade Program is open to individuals who meet the following requirements ("Eligible Participants"):

    • Hold a Trade Certification, Membership, or ID with an Interior Design Certification/Major Design Organization such as NCIDQ, AIA, IDS, etc.
    • Have a valid membership with a major residential or commercial association like NAHB, NAA, NARI, etc.
    • Possess a valid business license.
    • Provide a signed and dated resale certificate.

  2. To be eligible for the Trade Program, you must provide the necessary materials applicable to your profession, along with a completed application:

    • Proof of Trade Certification, Membership, or ID.
    • Proof of valid membership with a residential or commercial association.
    • Copy of your business license.
    • Signed and dated resale certificate.

  3. Semi Exact reserves the right to assess and approve Trade Program membership applications at its sole discretion. Each applicant must apply for membership individually, and memberships are granted to individuals, not businesses or entities. However, multiple individuals employed by the same business or entity may apply separately by submitting individual applications and obtaining approval. The business or entity itself will not qualify for Trade Program membership. Incomplete applications will not be accepted.

2. Membership

  1. Trade Program membership is non-transferable. Membership misuse may result in termination, including but not limited to:

    • Using the trade discount for personal purchases.
    • Reselling merchandise purchased using the trade discount through any retail outlet.
    • Seeking reimbursement for the trade discount upon returning merchandise.
    • Transferring membership to another individual.
    • Submitting false, expired, or misleading information in connection with a membership application.

  2. Semi Exact reserves the right to review and revoke a member's eligibility if it determines, in its sole discretion, that the membership has been misused.

3. Membership Benefits

  1. Trade Program members are entitled to a 20% discount on full-priced merchandise at Semi Exact, through our online channels and semiexact.com, with no minimum purchase requirement.

  2. The trade discount cannot be applied to reduced-price, sale, or clearance items. It is applicable to merchandise only and excludes outlet items, floor samples, gift cards, taxes or other fees, and shipping.

  3. The trade discount cannot be combined with other promotions or offers, applied to previous purchases or future deliveries, or exchanged for cash.

  4. Semi Exact reserves the right to modify the list of eligible items for the trade discount at its sole discretion, without prior notice.

4. Membership Management

  1. Trade Program members are responsible for notifying Semi Exact of any changes to their account information, including contact details and eligibility credentials.

  2. For inquiries regarding membership status or any questions regarding the Trade Program application process, members may contact Semi Exact by phone at 866-840-2199 (press 3 for trade) or by email at trade_program@semiexact.com.

5. Tax-Exempt Purchases

  1. Resale Certificates for Tax-Exempt Purchases (within the U.S.):

    1. Trade Program members who hold tax-exempt status in applicable states may make tax-exempt purchases.

    2. Members must provide the relevant resale certificates for each applicable state, as required by state laws.
